Director of Commercial Contracts & Legal Counsel   (Finance)



Scope: Elbit America is seeking a Director of Commercial Contracts & Legal Counsel to support the commercial business and serve as the primary counsel for the business with strong experience and expertise in US and international commercial Contracts. The successful candidate will plan, develop, direct, establish, and implement policies, procedures, and objectives of the full contract cycle and administration function in accordance with objectives of the business. The Director of Contracts will lead the preparation and negotiation of all commercial contracts and provide advice and necessary direction regarding risk mitigation and general legal matters within the business unit. This attorney must demonstrate superior judgment and work product for matters of significant complexity. This attorney must be a leader, self-starter and able to work collaboratively across the enterprise. Outstanding organization, client management and written and verbal communication skills are essential. The position will directly report to the Vice President of Contracts for Elbit America and indirectly report to the Vice President & Deputy General Counsel of Elbit America.

Responsibilities & Tasks:

In a generalist manner, advising business on employment law, commercial transactions, trade, and compliance, and other matters involving risk and strategy. Strategizing, advising, and leading steps to resolve disputes, and selecting and managing outside litigation counsel when needed. Maintaining currency on U.S. and international commercial contracts legal topics. Serve as contact for legal contract questions within and outside the business. Confers with organization officials to plan business objectives, to develop organizational policies related to contract administration, and to coordinate the contract administration function. Directs contract administration operations involving contracts for sale of equipment, materials, products, or services. Develops and directs the negotiations of contracts with customers. Provides analysis of contracts and past operations, trends and costs, estimated and realized revenues, administrative commitments, and obligations incurred. Advises management regarding contractual rights, obligations, and other contractual matters, such as effective use of resources and legal issues. Provides input as required to support the preparation of proposal review/briefing packages to ESA management. Manages price/cost proposal preparation and approval for business.

  • Integrating and partnering with the business leadership team, providing sound legal advice and risk mitigation measures to ensure successful business outcomes.
  • Lead contract negotiation and customer contract activities to provide for proper contract acquisition and fulfillment in accordance with company policies, legal requirements, customer specifications based on ESA management direction and objectives.
  • Participate and support development of overall objectives and long-range goals of the organization.
  • Leads the negotiation of all standard and nonstandard contracts.
  • Ensures timely contract execution by the parties and final contract documents are consistent with agreements reached at negotiations.
  • Participating in and contributing to Legal and Contracts Department discussions on corporate-wide topics, policies and procedures.
  • Participating in and contributing to Legal Department updates on changing laws and regulations and other continuing education.
  • Other duties as assigned by the Vice President of Contracts and the Vice President & Deputy General Counsel or Executive Management.

  • Approval of Contracts to Executive Management
  • Approve appropriate contract changes and amendments
  • Assist in coordinating recruitment and selection of Contract Staff.

Qualifications

Education

  • Required: Juris Doctorate from an accredited Law School

Certifications/Licenses:
  • Required: Active membership in at least one state bar
  • Required: Licensed to practice law in the United States

Experience Required:
  • 7-12 years of relevant experience as either in-house or outside Commercial Contracts counsel, with preference given for experience as in-house counsel in the biotech industry
  • Experience advising executive clients on business and transactional matters (contracts, agreements, business strategy)

Knowledge, Skills, Abilities Required

  • Must have excellent interpersonal skills, maintaining frequent contact and favorable relationships with all levels of personnel within ESA.
  • Maintain relationships with industry peers and customer representatives.
  • Must have extensive negotiation and contract processing experience.
  • Demonstrated leadership ability, preferably as a counsel for an engineering/technology-driven defense or aerospace company.
  • Ability to perform the role of hands-on legal generalist. Ability to resolve issues between ESA and Customer.
  • Ability to analyze complex fact patterns or case law and provide recommendations. Understands and can apply appropriate contract language.
  • Must be able to handle multiple assignments and achieve program goals and deadlines in a fast-paced environment.
